Terms of Service

1. Scope and parties

These Terms of Service ("Terms") govern all agreements between Konstantine Group UG (haftungsbeschränkt) (hereinafter "Konstantine Group", "we", "us") and our customers (hereinafter "Customer", "you") regarding access to and use of the Konsta outbound-sales platform ("Konsta", the "Platform").

2. Description of services

Konsta is a B2B outbound-sales platform that automates lead-finding, email enrichment, and outbound-campaign delivery. Services include but are not limited to:

• Detection of hiring and growth signals from public job-postings
• Discovery of target companies and decision-makers
• Email and contact enrichment
• Generation of personalised outbound messages
• Synchronisation with downstream sending tools such as Instantly.ai
• Campaign configuration, reporting, and operational support

The exact scope of services results from the individual agreement with the Customer.

3. Early Access — Founding Partner Program

Konsta is currently available only via early access as a Founding Partner. Entry requires an upfront deposit between USD $3,000 and $10,000 (the "Founding Deposit"), invoiced via Stripe. The Founding Deposit is converted to platform credits at a rate of $0.10 per credit (1:10 ratio). Example: a $3,000 deposit yields 30,000 credits. Each contact reveal consumes 3 credits (target cost-per-contact ~ $0.30).

Three-month evaluation period

The first three months of the Founding Partner relationship constitute a custom-implementation and evaluation period during which Konstantine Group works directly with the Founding Partner to tailor the Platform to their use case. At the end of three months:

• If the Founding Partner chooses to continue: they receive lifetime platform access without a recurring subscription fee plus discounted credit prices on all future top-ups. Continued use requires only that the Founding Partner top up credits as needed.
• If the Founding Partner chooses not to continue: any unspent credits are fully refunded to the original payment method via Stripe. Platform access is then terminated. Credits already consumed during the evaluation period are non-refundable.

Follow-on credit purchases

After the evaluation period, additional credits may be purchased at any time via Stripe at the Founding Partner's discounted rate.

Custom arrangements

Konstantine Group may, at its sole discretion, agree to alternative terms in writing with individual Founding Partners; any such written agreement supersedes the standard terms above.

4. Contract formation

The contract is concluded upon the Customer's payment of the Founding Deposit (or, for custom arrangements, upon counter-signature of the applicable order form) and our confirmation. Access to the Platform is activated thereafter.

5. Permitted and prohibited use

Permitted use: commercial use for B2B outbound sales and integration into the Customer's existing sales and marketing processes.

Prohibited use: resale, sublicensing, reverse engineering, illegal activities, unsolicited communications in violation of applicable law, spam, or any infringement of data- protection regulations.

Customer responsibility: the Customer is solely responsible for ensuring that its use of the Platform complies with all applicable laws, in particular for obtaining any required consents for commercial communications under the GDPR, the German UWG, the CAN-SPAM Act, the CASL, and any other applicable regime in the jurisdictions the Customer operates in.

6. Intellectual property

All intellectual-property rights in the Platform — including software, models, prompts, workflows, UI, brand assets, and documentation — remain the exclusive property of Konstantine Group or its licensors. The Customer receives a limited, non-exclusive, non-transferable right to use the Platform for the duration of the contract.

Customer data (target lists, campaign configurations, copy edits, etc.) remains the property of the Customer. The Customer grants Konstantine Group a limited licence to process such data solely to operate the Platform on the Customer's behalf.

7. Data protection

The processing of personal data takes place in accordance with our Privacy Policy and applicable data-protection regulations (GDPR). A Data Processing Agreement (DPA) is required and will be provided during onboarding.

Third parties: we use specialised third-party providers (e.g. Apollo.io, FullEnrich, Instantly.ai, OpenAI, Anthropic, Google, Supabase, Vercel, Fly.io, Stripe, Datadog, BrightData, Firecrawl, Perplexity) to deliver our services. For transfers of data to third countries, we ensure an adequate level of data protection through Standard Contractual Clauses. See the Privacy Policy for the full list.

8. Limitation of liability

Important notice and disclaimer: use of the Platform is at the Customer's own risk. Konsta does not guarantee any specific sales or business outcome from use of the Platform. Success depends on numerous factors outside of our control, including but not limited to the Customer's offer, market, copy, deliverability setup, and follow- up motion.

We are liable without limitation only for intent and gross negligence and for damages arising from injury to life, body, or health. In the case of slightly negligent breach of material contractual obligations, our liability is limited to typical, foreseeable damages. Liability for slight negligence is otherwise excluded.

9. Availability and changes

We strive for high availability but cannot guarantee 100% uptime. In the event of extended outages we will grant pro-rata credit compensation.

Changes to these Terms will be communicated at least 30 days before they take effect. Consent is deemed granted if no objection is raised within 30 days.

10. Indemnification

The Customer agrees to indemnify and hold harmless Konstantine Group from and against any third-party claims arising out of (i) the Customer's breach of these Terms, (ii) the Customer's violation of applicable law in its use of the Platform, or (iii) outbound communications sent by the Customer or on the Customer's behalf in violation of applicable anti-spam, anti-fraud, or data-protection law.

11. Governing law and jurisdiction

These Terms are governed exclusively by German law. The exclusive place of jurisdiction for merchants and legal entities is Berlin, Germany. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
